Know the main defaults before a call. These principles explain the intended relationship; they do not replace a project-specific signed agreement or customer purchase terms.
A. Website terms
This site describes DNA Lab and the work we can discuss. It is not an order form, checkout or a binding offer to perform a particular project. Browsing or sending an enquiry does not commit either side to an engagement.
DNA Lab is an early-stage independent studio operated by Claudio in Italy, with no completed creator partnerships or public client case studies yet. Illustrative formats and demonstrations are not client work or evidence of commercial results.
Claudio shares his full identity during the introductory call, before any agreement, work or exchange of confidential material. Applicable contracting and tax details are provided for the proposed relationship.
No figure or statement guarantees revenue, sales, product-market fit or accuracy. Outcomes depend on the creator, audience, market, product, pricing, promotion, execution and other circumstances. External ecosystem figures are context only, not DNA Lab or client results, forecasts or evidence of expected performance.
Training, certificate and support references describe learning or customer relationships, not partnerships, endorsements, sponsorships or a guarantee of performance. External services have their own terms.
B. Revenue-share partnership principles
These are the default commercial principles DNA Lab commits to reflect in each revenue-share agreement. The written agreement specifies scope, contributions, percentages, deliverables, milestones and practical arrangements before work starts. Site updates do not change an existing signed agreement.
There is no upfront DNA Lab service fee. No sales means no DNA Lab service fee. Platform charges, refunds, chargebacks and separately approved expenses still apply as agreed; no guarantee of zero financial exposure is made.
Product ownership and Creator Materials
For a revenue-share partnership, DNA Lab owns the new product asset it creates: its original copy, structure, design, packaging, sequencing and other original components, including AI-assisted elements to the extent rights exist and can be held. Creator Materials and third-party components are excluded from that ownership.
Your name, likeness, images, voice, brand, logo, accounts, audience and underlying expertise remain yours. Your pre-existing work and the original methods, frameworks, text, stories and educational material you contribute are identified as Creator Materials and remain yours.
The agreement identifies those components and grants only the rights needed to integrate, publish, sell and support the product. It defines use of name and likeness, permitted channels and duration. Neither party receives an unrestricted right to sell or reuse the other’s work or identity outside the agreed permissions.
DNA Lab’s product ownership protects the remuneration for research, writing, design, setup and other work invested before sales. It does not transfer the creator’s underlying knowledge, and is subject to the continuity provisions below.
Accounts and operational control
Creator accounts remain with the creator. A product may be operated through a DNA Lab-controlled Whop setup, with the creator connected through their own account for revenue sharing. No creator password or 2FA code is required.
DNA Lab normally manages listings, technical setup, routine customer support, ordinary refunds and chargebacks. The agreement identifies the actual account structure and customer responsibilities. Platform capability does not override contractual approval or reporting rights.
Revenue calculation and records
DNA Lab’s time, software, AI and research tools, design, internal production and normal operating costs are not deducted from the revenue base. Any separate exceptional expense requires prior written agreement; it does not become an automatic deduction.
The percentage, calculation period, currency, reporting schedule, payment timetable and treatment of later reversals or negative adjustments are written down. Taxes or reversals are not deducted twice.
The creator can reasonably verify the calculation using relevant records of gross sales, refunds, chargebacks, taxes, mandatory fees, approved deductions, revenue base and creator share. Reports and agreed access must explain differences between sales, accrued share, credited balance and funds available to withdraw.
Whop revenue sharing can credit the creator’s own Whop balance after platform fees. A credited balance is not the same as a completed withdrawal: verification, availability, reserves and payout rules apply. We verify the actual configuration and reconcile platform credits against the agreed revenue base; we do not assume the platform implements every contractual adjustment automatically.
No unilateral split changes
The agreed split cannot be changed unilaterally. An unauthorised change is a material breach: DNA Lab must restore the correct split, pay any shortfall and provide the relevant records, and the creator has the right to terminate. Platform settings do not override this commitment.
Approvals and material decisions
Creator approval is required for the final product, sales page, initial price, use of the creator’s name or likeness, material personal claims, associated testimonials and substantial product or offer changes.
Major pricing changes, discounts, giveaways, goodwill refunds, affiliate arrangements, access commitments, positioning changes or other decisions materially affecting the economics or reputation need agreement. Split changes require mutual written agreement.
Routine support, typos, formatting, minor layout, technical fixes and non-substantive CTA tests may be handled without renewed approval if they do not change meaning, reputation or economics. Necessary legal, platform or urgent protective action is communicated promptly.
Refunds and customer support
DNA Lab handles ordinary support, refund requests, chargebacks and platform-required remediation under the agreed customer policy, applicable consumer rules and platform requirements. Required customer remedies cannot be blocked by internal approval procedures.
Discretionary decisions with a material commercial impact require agreement. The written project terms allocate the economic effect of refunds, disputes and any approved affiliate commissions; platform actions or customer rights may apply independently of either party’s preference.
Quality, errors and responsibility
AI output does not publish itself or make final product decisions. Drafts receive human review, refinement, factual and rights checks, creator review and final approval. We verify external factual claims against relevant sources; creators confirm their own experiences, methods and personal claims. Review reduces risk but does not guarantee error-free output or establish product-market fit.
We do not intentionally copy protected work. Quotations, sources, unusual frameworks, suspiciously specific passages and image or asset permissions are reviewed; unresolved material is rewritten or removed. Creator-supplied material is subject to the rights and authorisations the creator provides.
If DNA Lab introduces a material error, it corrects its work without an additional service fee and takes reasonable remediation steps. If an error arises from false, incorrect or incomplete creator-supplied information, the creator has primary responsibility for that information and substantial additional work may be agreed separately.
Where the cause is unclear or shared, both sides cooperate on correction and agree a reasonable cost allocation. Neither approval nor the use of AI automatically transfers all responsibility to the creator. Each party is primarily responsible for its own material, instructions, conduct and contractual breaches.
The agreement addresses liability and any third-party claim procedures fairly for the project. These public principles impose no blanket creator indemnity and no liability cap based only on fees paid. Mandatory rights are preserved.
Stopping new sales and ending a project
You can ask us to stop new sales. We act promptly, with an operational target of 24–48 hours after a valid request, subject to technical or exceptional issues. We explain any delay and the steps being taken.
Stopping new sales and ending the relationship are distinct. The agreement defines notice, valid request channels, termination triggers and the treatment of outstanding obligations.
Existing customers retain the access, support and remedies owed to them. The transition addresses active subscriptions and renewal settings, access periods, affiliate links, scheduled campaigns, recent orders, earned shares, refunds and support responsibilities. A sales pause is not permission to abandon customers or republish the other party’s assets independently.
Closure, interruption and handover
If DNA Lab closes, permanently withdraws or can no longer support the partnership, the creator receives the product files, relevant source files, operating information, necessary rights and access reasonably needed to continue the product and serve existing customers. Transfers must respect third-party licences, privacy duties and platform rules; where an account cannot be transferred, the agreement provides for an alternative export, licence or migration route.
Because the studio is founder-led, the project agreement also covers prolonged incapacity, permanent unavailability, account loss and other major interruptions. Before launch it identifies continuity triggers, a lawful way to obtain the necessary files and permissions, and a workable alternative if direct platform transfer is unavailable.
Handover includes the necessary rights to use the product components for the agreed continuation; merely receiving a file must not leave the creator unable to use it. Unrelated DNA Lab tools, reusable methods and confidential systems are excluded. Existing customer information is handled only as permitted for continuity.
Project data and confidentiality
Public research, voluntarily supplied private material and customer transaction data have different purposes and handling arrangements. Non-public material is not automatically uploaded to external AI or analysis tools. Relevant onward processing is explained and agreed first, with required privacy information.
Access for delivery, support, transactions or reporting does not automatically permit unrelated future marketing. Actual privacy roles and data-sharing arrangements are determined for the implemented setup.
Each party protects the other’s confidential material. DNA Lab’s internal methods and tooling remain confidential, without restricting disclosure of privacy information or records that the law or agreement requires.
Privacy PolicyC. Standalone paid project principles
For a standalone paid project, you own the final commissioned deliverable once fully paid, subject to the agreed project terms. DNA Lab retains its pre-existing IP, reusable templates, tools, methods and internal systems. Any exceptions or third-party licence limits are identified before work starts, with the rights needed to use the finished deliverable.
Scope, final files, any editable source files, price, payment stages, revisions, milestones and delivery are agreed before work. Commissioning a deliverable does not purchase DNA Lab’s production system. Embedded pre-existing or licensed components must come with the agreed permission to use the final deliverable.
Cancellation, work in progress, changes to scope, error correction, applicable consumer rights and any portfolio permission are agreed separately. A standalone purchase does not automatically create a revenue-share partnership.
D. Customer-facing terms
These website and collaboration principles are not checkout terms for buyers of a future product. Each launch needs its own customer-facing information about the identified supplier, content, price, taxes, delivery, access duration, support, refunds, withdrawal rights where applicable and privacy.
The actual Whop setup, applicable platform terms and supplier responsibilities must be confirmed before sales start. Platform payment processing and product supply are distinct functions. We do not present Whop as assuming every responsibility for the product.
Questions and updates
Contact business@dnalab.work about these principles. Material project terms are explained before commitment. This website does not remove rights that cannot lawfully be excluded; the signed agreement governs the individual collaboration alongside applicable mandatory law.
Changes to the public site do not retrospectively alter agreed ownership, percentages or permissions.
